DAMPS I LP will be offering a Private Placement for $5 million, with an partnership option for an additional $5 million at a later date. The terms will be established based on a final management valuation figure, to be established. Damps.com represents the PPM, with final addendum added as required. A formal external PPM document is herein replaced.

Use of funds will include management, operations, marketing, debt pay down and contingency disbursement.

Marketing

With rare and rewarding endorsement from the Special Forces community SOF SOCOM, DAMPS moves into commercial licensing markets worldwide. Currently management plans for the development of thirteen (13) DAMPS technology lines.

With each DAMPS pre and post license comes our management responsibility of continued DAMPS brand nurturing and support. Management is developing a strategic network marketing support flexibility, so as to be viable from Smart boots to other DAMPS technology line introductions. A designated portion of the private placement funding will focus on continued damps.com grass roots word of mouth marketing, DAMPS technology branding, supplemented by other additional media demographic saturation strategies. ( See business plan ) Management will actively support the thirteen DAMPS technology lines, per license agreement.
